Acceptance of Terms

By accessing or using our restaurant payroll services, engaging our company, or entering into a service agreement with skillforgeix, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services.

Description of Services

skillforgeix provides professional payroll services specifically designed for restaurants and hospitality businesses. Our services include but are not limited to:

• Payroll processing and employee management
• Tax compliance and regulatory reporting
• Tips and gratuity management
• Time and attendance tracking
• Reporting and analytics services
• Customer support and consultation

User Obligations

As a client of skillforgeix, you agree to:

• Provide accurate, complete, and timely information necessary for payroll processing
• Maintain the confidentiality of any login credentials or access information
• Comply with all applicable laws and regulations related to employment and payroll
• Pay all fees and charges in accordance with the agreed payment terms
• Notify us promptly of any changes to employee information or business circumstances
• Use our services only for lawful business purposes
• Cooperate with us in resolving any issues or discrepancies

Payment Terms

Payment terms will be specified in your individual service agreement. Generally, fees are due in advance of service provision. Late payments may result in service suspension and additional charges. You are responsible for all costs associated with collection of overdue amounts.

Intellectual Property

All content, software, systems, and intellectual property used in connection with our services remain the exclusive property of skillforgeix or our licensors. You may not copy, modify, distribute, or create derivative works based on our proprietary materials without explicit written permission. The skillforgeix name, logo, and all related trademarks are our property and may not be used without authorisation.

Confidentiality

We understand that payroll information is highly sensitive. We maintain strict confidentiality regarding all client information and employee data. Both parties agree to keep confidential all non-public information disclosed during the course of our business relationship.

Data Protection

We process personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). For detailed information about how we handle your data, please refer to our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by law, skillforgeix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claims arising from our services shall not exceed the amount paid by you for services in the twelve months preceding the claim. This limitation applies regardless of the legal theory upon which the claim is based.

Indemnification

You agree to indemnify and hold harmless skillforgeix from any claims, damages, or expenses arising from your breach of these Terms, violation of applicable laws, or misuse of our services.

Service Availability

We strive to provide reliable services but cannot guarantee uninterrupted availability. We may temporarily suspend services for maintenance, updates, or due to circumstances beyond our control. We will provide reasonable notice of planned maintenance when possible.

Termination

Either party may terminate the service agreement with appropriate notice as specified in the individual service contract. Upon termination, you remain responsible for all fees incurred up to the termination date. We will provide reasonable assistance in transitioning your payroll to another provider, subject to applicable fees. Certain provisions of these Terms, including confidentiality and limitation of liability, shall survive termination.

Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, strikes, or technical failures.

Modifications to Terms

We may update these Terms from time to time to reflect changes in our services or applicable laws. We will notify you of material changes and provide the updated Terms. Continued use of our services after such notification constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of Slovenia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Slovenia. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with your individual service agreement and our Privacy Policy, constitute the entire agreement between you and skillforgeix regarding the use of our services and supersede all prior agreements and understandings.
